​Terms of use

Effective date: 11/20/2024


These Conditions of Use (hereinafter the “ Conditions ") govern access and use of the Services made available by LightOn. By using our Services, you agree to be bound by these Terms. If you use our Services on behalf of an entity or organization, for example a business or educational institution, you may bind that organization to these Terms and you accept that you have the authority to do so.

LightOn services are developed and marketed by LightOn, a French company whose head office is located 2, rue de la Bourse 75002 Paris.


Definitions



« Data Protection Agreement » or « DPA » designates the agreement which binds LightOn to the Client on the processing of Personal Data.

« Administrator » means an Authorized User designated by Customer to manage and control the Platform, the accounts of Customer and Authorized Users.

« Third-party apps » means any third party applications, integrations, websites, products or services that link to or interact with the Services, including any applications created by third parties using SDKs (“ SDK ") from LightOn or other development tools.

« Client » or “Customer” designates the person or organization which has entered into a contract for the provision of solutions provided by the use of the Platform made available by LightOn for the purpose of benefiting and/or allowing its Authorized Users to benefit from the User Services offered by LightOn.

« Account » designates the online space made available to Users allowing them to manage the User interface by giving access to certain User information (including last name, first name, email address, telephone numbers, Content, etc.), to have access to the appropriate information and documents deposited within the Platform and allowing use of the Platform as part of the services provided by LightOn.

« Conditions » has the meaning given to it in the preamble hereto.

« Customer Terms » or “Customer Terms” means the specific conditions which apply to Authorized Users and which bind them to the Customer. 

« Content » means any content that LightOn did not create or produce directly (data entered by Authorized Users, documents provided, etc.).

« User Documentation » means any documentation or materials provided (or made available) by LightOn to Customer or Authorized Users in connection with the Services. 

« Customer Data » means all information and data processed by a LightOn Service on behalf of the Customer, including any Personal Data as well as all photos, videos, audio or transcription data, images, comments, annotations, documents, user support communications or any other content or information captured, entered, uploaded or processed by Users or automatically in the Platform or by the User Services or collected, stored or processed by LightOn on behalf of the Customer or its Users Authorized by or via the Platform or User Services

« Personal Data » means personal data or personal information (each as defined in the GDPR as well as the national legislation adopted in application of the GDPR, including the Data Protection Act of January 6, 1978 as amended) contained in the Customer Data and which makes it possible to designate or identify, directly or indirectly, a natural person.

« Platform » designates all the solutions and services provided by LightOn as part of the User Services, on all media such as mobile, web or desktop applications, and hosting the User Services. The Platform can be hosted 

  • On Premises, under full control of the Client
  • In a private cloud, under the full control of the Client
  • In a private cloud managed by LightOn on behalf of the Client (Single-tenant installation, except possibly with regard to the use of GPU type nodes, used in particular for interference, document processing and generations)
  • In a private cloud managed and controlled by LightOn (multi-tenant installation)

« Confidential Information » means information exchanged by the Parties which would reasonably be considered confidential given the nature of the information whatever the form, medium and means, including, without this list being exhaustive, any information collected (respectively provided) by the Customer or the User on the Platform or the Services, commercial information, on products, technology and marketing, orders, discounts, non-public payment terms, audit reports and Customer Data, information specifically indicated as such by any Party. Confidential Information does not include information that (a) is or becomes publicly known through lawful means; (b) was known to the recipient before the disclosure without obligation of confidentiality; (c) is received from a third party without breach of confidentiality obligations; or (d) was independently developed by recipient without use of or access to Confidential Information.

« Legal procedure » means a disclosure of information or request for access made pursuant to law, government regulation, court order, subpoena, warrant, regulatory request or governmental agency, or other legal authority, legal process or similar valid process.

« GDPR » means Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, relating to the protection of individuals with regard to the processing of personal data and the free movement of such data, and repealing Directive 95/46/EC.

« User Services » means (i) access to the Platform by Users, (ii) any hosting of the Platform and Data and related processing, (iii) administration and support of hosting servers where applicable, (iv) any back-up of Customer Data, (v) support and corrective and evolutionary maintenance of the Platform and (vi) correction of Defects. 

« Site » designates the LightOn / Paradigm application website accessible to the Client / Users.

« User(s) » means any person who uses the User Services, including Authorized Users and third parties who access the User Services as part of the use and internal management of the Platform on behalf of the Client.

« Authorized User(s) » means employees, agents or other third parties authorized by the Client to access or use the User Services, in particular Administrators, users whose access to the platform is required or planned, including, where applicable, employees and certain service providers of LightOn.


Customer Terms / Client Terms



The Platform may allow the Client who has made access to the Platform possible for Authorized Users to upload their own terms. These Client Terms govern the use of the Platform by Client’s Users. 

In the event of a contradiction between the Client Terms and those of the LightOn Terms, the terms of the Customer Terms will prevail by default, barring obvious errors or lack of compliance with applicable regulations.


Changes in Terms



LightOn reserves the right to change or modify the Terms (or any policy or guideline of LightOn) at any time and in its sole discretion in order to adapt to its activities and to comply with applicable regulations. If LightOn makes changes to these Terms, we will notify you of such changes, either by sending you a notice, by notifying you through the Site or Platform (including asking you to accept the new terms), and/or by updating the “Last updated” date at the top of these Terms and posting the revised Terms on the Platform without prior notice. 


At the time of connection to the Platform, the User must accept the current version of the Terms by means of a checkbox or any other element capable of obtaining the User's agreement. 


If the User does not accept the Conditions or their subsequent modifications, access to the Platform, User Services and their account may not be accessible. 


Acceptance of the Terms linked to the use of the Platform



By using the Platform you acknowledge and accept that:

  1. You have read the LightOn and/or Customer Terms
  2. You understand all the Terms 
  3. You agree to be legally bound by all provisions of the Terms that you have read and accepted.

Eligibility


The purpose of the Terms is to exclusively regulate access to the Platform and User Services and to determine the terms of use thereof. They are therefore not intended to apply to any other support belonging to LightOn or to the Client where applicable and which is not implemented within the Platform.


The Conditions apply to Users and Customers for access and use of the Platform and User Services. 


As a User, you declare and guarantee that:

  1. You are of the required age in your country of residence to access the Platform
  2. Your access to the Platform has not been previously suspended without being reactivated since then.

LightOn is not a party to any contract, agreement or contractual relationship that may be concluded between Customer and Users.


The Application and associated User Services are accessible to Authorized Users with an account with an identifier, associated with a password or an authentication system specific to the Client, under the conditions of Article 6.3 below;


Any User using the Platform acknowledges having read and accepted the entirety of the LightOn Terms and/or the Customer Terms at the time of their first identification on the Platform.


LightOn Services



  • Description

LightOn provides Paradigm, an enterprise AI platform designed for advanced natural language and image processing, large-scale data analysis, and gated content generation. The Services primarily include three deployment architectures:

  • On premises/private cloud deployment: The entire Paradigm platform and the components required for its operation are deployed on the Client’s infrastructure (cloud or on premise servers). This includes the software, the hosting of all customer data, as well as the computing resources needed to make use of AI models, in particular for inference and embedding.
  • Hybrid deployment: The Paradigm platform is deployed on the Client's infrastructure (cloud or on premise servers). This includes in particular the software and hosting of customer data. However, the computational resources needed to make use of AI models, in particular for inference and embedding, are under LightOn's control, by default with no data retention.
  • LightOn-controlled deployment: The entire Paradigm platform and the components required to run it are deployed on an infrastructure under LightOn's control. The customer has access to the instance of the Paradigm platform deployed on this infrastructure, which may be shared with other customers or the customer's own. In all cases, customer data is segmented and not accessible to users of other customers.

The main features of Paradigm allow:


  • Real-time semantic analysis of unstructured data in many languages, 
  • Automated generation of documentation, with traceable source attribution

  • Basic AI Capabilities


Natural language processing suite


Paradigm's Natural Language Processing (NLP) engine supports:

  • Contextual text generation
  • Real-time multilingual translation 
  • Uploading and automated analysis of documents provided by the Client / Authorized User
  • Management of specific spaces (workspaces), at the company, team or Authorized User level
  • Visual analysis of diagrams, figures, drawings, photographs, etc. in provided documents
  • Taking into account search results carried out on the web

Content generation system



  • Writing with online citation generation 
  • Dynamic content personalization
  • Multi-format output capabilities

LightOn maintains continuous updates to the platform through its monitoring measures. LightOn deploys security patches without undue delay.


Registration/Login



In order to allow use of the Platform, a User Account must be created. 


Only Authorized Users with the necessary rights can create User Accounts on behalf of a Customer.


Access 



During the duration of the contractual relationship, Authorized Users may access and use, and may allow Users whose Accounts they have created to access and use the Platform, in particular for the purposes stipulated 

  • in these Terms
  • in LightOn's commercial terms or in the contract established between LightOn and the Customer 

And

  • In the Client Terms, if applicable. 

Access may be revoked in particular 

  1. at the request of the Users and/or the Client if access or the presence of the account of said User is no longer necessary for the pursuit of the purposes, 
  2. by an Authorized User with the necessary rights
  3. at the end of the contractual relationship.

Users are solely responsible for:

  • Access to the Platform and the use made of their connection credentials to the Platform by a third party. It is up to them to take all measures to maintain their access. LightOn is released from all liability in the event of impossibility of access to the Platform and the Services due to an event beyond its control;
  • The creation and use made of the links provided for the purposes of access and/or use of the Platform and/or User Services. It is up to Authorized Users to take all measures to control the sharing of these links and, where applicable, to inform the data subjects of their personal data processing when they use the User Services, in particular via the Client Terms. LightOn is released from all liability in the event of access to the Platform and the Services by any third party with knowledge of said link, due to an event beyond its control.

Software



The Platform is accessible online, usually via a link specific to the Client.


LightOn may make the Platform available as part of the User Services. Subject to compliance with the Terms, LightOn grants to Customer, Authorized Users, Users and any guest a non-exclusive, non-transferable and non-sublicensable limited license to access and use the Platform to the extent necessary to use the User Services. To the extent that any component of the Platform contains open source software, the open source license for that software will govern with respect to that component.


With regard to the elements under its control, LightOn strives, as far as possible, to make the Platform and its User Services accessible at any time, 24 hours a day, 7 days a week.


However, for the proper management of the Platform, LightOn may at any time, with regard to the elements under its control: 

  1. Suspend, interrupt or limit access to all or part of the Platform, or to certain parts of the Platform, to Users or to some of them;
  2. Delete any information that may disrupt its operation or contravene national or international laws or the LightOn and/or the Customer Terms;
  3. Suspend access to the Platform in order to carry out updates, in the cases provided for herein.

LightOn cannot be held responsible for malfunctions whose origin is linked, directly or indirectly, to an information system other than its own or those under its full control, and in particular that of the Client or Users.


Authorized Use - Restrictions.


The Client undertakes to respect and guarantee that Users whose Accounts have been created under its authority respect the following commitments.

  1. When using the Platform, and except with explicit authorisation, duly validated by the Parties, no information, and more generally any Content, which is referenced below, may be recorded, hosted, displayed, broadcast, downloaded, modified, published, transmitted, updated or shared. This concerns anything which:
  1. belongs to another person and to which neither the Authorized User nor the Customer has any rights;
  2. is grossly harmful, harassing, blasphemous, obscene, pornographic, pedophilic, libelous, invasive of another person's privacy, hateful or racially, ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise illegal in any way whatsoever, or, more generally, is contrary to the purposes of the Platform, likely to infringe the rights of LightOn or a third party or contrary to the good morals;
  3. harms minors in any way;
  4. infringes any patent, trademark, copyright or other proprietary rights including intellectual property;
  5. violates any law or regulation currently in force;
  6. deceives or misleads the recipient about the origin of the information, communicates any information of a grossly offensive or threatening nature;
  7. impersonates another person;
  8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
  9. threatens the unity, integrity, defense, security or sovereignty of any country, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offense or prevents the investigation of any offense or insults any other nation; or is misleading or known to be false in any way.

  1. The Client and Users are prohibited from the following:
  1. Interfere with the Platform for the purpose of accessing any Content in an unauthorized manner;
  2. rent, lend, sell, sublicense or create derivative works from the Platform and User Services, except to the extent permitted by these Terms and/or applicable regulations;
  3. reproduce, modify, adapt, disclose, decompile, reverse engineer, disassemble, attempt to derive the Platform and/or the User Services and more particularly the source code, underlying ideas, algorithms, file formats or non-public APIs of the User Services used to make the Platform available to Users, except to the extent required by applicable law and by the Terms or express permission given by LightOn;
  4. delete, modify or obscure any mention of copyright, trademark or other proprietary rights on or in the Platform and User Services, and generally infringe the intellectual property rights held by LightOn or by third parties on the Platform as well as on data that may be accessible via the Platform and/or User Services;
  5. use the Platform, applications and User Services in a manner that could interfere with, disrupt, negatively affect or prevent other users of the Services from fully benefiting from the User Services or that could damage, disable, overburden or alter the functioning of the User Services, including the security measures taken by LightOn and/or by the Client to ensure the confidentiality and integrity of the data processed within the User Services;
  6. attempt to gain unauthorized access to the Platform and User Services or its related systems or networks;
  7. create a competitive product or service, or copy features or functions of the Platform and User Services;
  8. disclose without authorization from LightOn to any third party any information or performance analysis relating to the Platform; 
  9. engage in advertising or solicitation of other Users of the Platform or third parties to buy or sell services, including, but not limited to, services related to those displayed through the Platform or related to LightOn;
  10. transmit unsolicited commercial or spam chain letters or emails to other users via the Platform;
  11. use any information obtained from the Platform and User Services in order to harass, abuse or harm another person, or in order to contact, advertise to, solicit or sell anything to another person;
  12. abuse the User Services in any way, including in violation of these Terms or applicable regulations;
  13. use names, LightOn’s brands and logos, as well as, more generally, any other protected name used within the framework of the Platform or User Services, in its advertising and commercial documents, unless prior written agreement from LightOn;
  14. use the Platform in a way that contravenes European law and regulations, particularly but not exclusively in the field of AI. Unless previously agreed in writing, the use of the Platform to develop artificial intelligence systems whose risk level is equal to or higher than the so-called “high-risk” level within the meaning of European regulations is not authorized by LightOn when elements under its control are implemented to render User Services to the Customer.
  15. cause or permit any third party to do the foregoing.

Any use of data mining, robots or similar data gathering and extraction tools or framing of all or part of the User Services without the authorization of LightOn and/or the Customer is strictly prohibited. If applicable, Customer will prevent, terminate and notify LightOn of any unauthorized or illegal use or access to any User account or the User Services.


LightOn has no obligation to monitor the Content, documents and data processed by the Platform. Under no circumstances will LightOn assume any liability for any Content processed and/or published or for any claims, damages or losses resulting from the use of Content and/or the appearance of Content processed by the Platform. 


Customer Responsibility



  • Fees


The Customer undertakes to pay the amounts due to LightOn in accordance with the payment conditions set out when ordering or in any act governing the provision of User Services to the Customer. The Customer is responsible for paying applicable taxes.


  • Third-party apps


Third-party applications to the Platform and User Services, including the Client's applications, in particular interfaced by API with the User Services, are subject to their own terms and privacy policies. The Customer is responsible for reviewing these terms and policies before using any third party applications. LightOn is not responsible for and does not warrant or support third-party applications. By activating a third party application that uses or accesses Customer Data, the Customer authorizes the transfer of such data to the third party application and, where applicable, will ensure that there is a legally valid data transfer mechanism for the transfer or onward transfer, in accordance with all applicable privacy and data protection laws.


  • Users


The Client is responsible for the distribution of the access it grants to the Platform and the use of the User Services by Users as well as their compliance with these Terms. The Client will ensure that all Users are of the necessary age to use the Platform in their country of residence at the time of said use. Where applicable, the Client declares that it has obtained all necessary consents for the use of the User Services by its Users.


  • Customer Data 


The Customer is responsible for ensuring that all Customer Data and other content or information provided to LightOn or uploaded, posted, processed, stored or transmitted to the User Services by any User complies with these Terms. If any Customer Data violates these Terms, LightOn may request that the Customer delete or modify said Customer Data so that it is no longer in violation, or LightOn may, with respect to matters under its control, but is not obligated to do so, delete such Customer Data or take steps necessary to resolve the problem.


LightOn Responsibilities



  • Obligation of means


As part of the execution of User Services by any User, LightOn is bound by an obligation of means. LightOn also reserves the right to carry out technical, maintenance or updating interventions on the Platform and User Services under its control, causing a temporary interruption of access. However, LightOn undertakes to make its best efforts to ensure that User Services are not interrupted during times of normal or intensive use of the Platform.


In all cases, the resulting malfunctions and unavailability of services cannot give rise to any compensation for Users.


In particular, LightOn does not guarantee Users:

  1. The reliability, performance, completeness of the content published on the Platform with the use that Users wish to make of it. The latter agree to use this information under their exclusive responsibility;
  2. The content and outcome of relationships between Users, if applicable. 

LightOn cannot therefore be held responsible for any direct or indirect damage claimed by Users, which is based on the information or content published on or processed by the Platform and User Services.


LightOn undertakes to respond as quickly as possible to Users' requests and complaints, requests for withdrawal or modifications of content published on the Platform and User Services, under the conditions provided for by these Terms and in compliance with the applicable legal provisions, in particular resulting from the applicable law.


Data and Content published



LightOn makes its best efforts to ensure the quality of the Data present on the Platform over which it controls.


Any Content available through the Platform and User Services, however, is solely the responsibility of its author or the person who issued or deposited it, since LightOn is not the author. 


LightOn does not control nor guarantee the truthfulness, quality, accuracy, validity, relevance or legality of the Content nor of the output generated by the use of the Platform. In its capacity as a service provider, LightOn has no control over the behavior of Users, LightOn's role is limited to facilitating access and provision of the Services and the Platform.


Consequently, LightOn cannot be held responsible in this regard, in particular for any damage that could result. 


If LightOn were to be the subject of an amicable or legal procedure due to the use of the Platform, it could seek the liability of the Client and/or the concerned User to obtain compensation for all damages, sums, convictions and costs which could result from this procedure.


The User acknowledges that LightOn, when it has the possibility, reserves the right, without having the obligation, to verify the Content, delete it or modify it in particular to (i) operate, secure and improve the Platform, (ii) ensure compliance with these Terms, (iii) comply with applicable law or the decision of any competent jurisdiction.


Relations between Users



Any correspondence, exchange or relationship of any kind whatsoever between Users via the Platform, including any comments, notes or corrections associated with the Content, is solely binding on them.


Consequently, LightOn cannot be held liable for any damage or loss caused during the use of the Platform by Users. The Client and, where applicable, the User involved undertake to defend, compensate, exempt and release LightOn from all claims, costs, demands, proceedings, damages and losses (including reasonable attorney's fees) incurred, suffered or paid by LightOn, arising from - or relating to - their relationships (contractual or not).


Data protection



Processing of Personal Data



As part of the provision of the Platform and the provision of User Services, LightOn acknowledges that it may be required to collect and process Personal Data in the name and on behalf of the Client, in particular when LightOn controls all or part of the technical infrastructures enabling the Platform to be operated.


Users are informed that LightOn then acts as a processor within the meaning of the Legislation relating to data protection and undertakes to process the Personal Data thus entrusted to it in accordance with the following provisions, and to ensure compliance with the terms by its permanent or non-permanent personnel, and its possible subcontractors, in particular by passing on to them commitments similar to those provided for below.  


LightOn will only process Personal Data: 

  1. to provide, manage, protect, update and improve the quality of the User Services under its control, 
  2. to enforce the Terms and exercise its rights hereunder, 
  3. in accordance with the law and 
  4. in accordance with the Customer's instructions. 

LightOn processes Users' Personal Data in accordance with its Data Protection Policy and the measures put in place and described elsewhere, in particular in the contractual documents established and accepted by the Client and LightOn. 


Data Processing Agreement



LightOn processes Personal Data on behalf of the Client in accordance with the Data Processing Agreement (DPA) established with the Client.


Security



LightOn is committed to maintaining an industry-standard information security program that consists of technical and organizational safeguards designed to protect the data it processes. When in control, LightOn ensures that the security and confidentiality of User accounts is maintained, particularly with regard to account identifiers (login identifier and passwords). Notwithstanding the foregoing, the Client and/or User is / are responsible for maintaining the security and confidentiality of the identifiers allowing access to the Platform.


Subprocessors



LightOn may engage subprocessors to help provide User Services, provided that: 

  • subprocessors receiving Personal Data are subject to confidentiality obligations no less protective than those set out in these Terms; 
  • LightOn will remain responsible for its obligations under these Terms and the use of Personal Data by subprocessors; 

Confidentiality



  • Use


If the Parties disclose Confidential Information, the recipient will only use the disclosing Party's Confidential Information to exercise its rights and fulfill its obligations under the Terms. The recipient will use reasonable care to protect the Confidential Information.


  • Non-disclosure


Unless required to do so by regulatory or legal provision, the recipient will not disclose Confidential Information to anyone except its affiliates, employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective of Confidential Information as those described in this section. The recipient will be responsible for any violation of this section by such parties. A violation of this section may cause irreparable harm and entitle the disclosing party to injunctive relief.


  • Disclosure required


The recipient may disclose Confidential Information to the extent required by law, provided that it uses reasonable efforts to notify the disclosing Party in advance and gives the disclosing Party an opportunity to contest the disclosure (except as described in the “Legal Proceedings” section). Confidential Information disclosed under this section will also always be subject to the confidentiality obligations described above.


  • Intellectual property rights


  • Property


Except as expressly stated, these Terms do not grant any rights, implied or otherwise, in intellectual property. The Customer owns and will continue to own all intellectual property rights in the Customer Data, including the documents it provides during its use of the Platform, the questions asked by Users and the responses generated by the Platform, and LightOn owns and will continue to hold all the intellectual property rights in the Platform and the User Services.


  • Licences


The Customer grants LightOn a non-exclusive, worldwide license to access, host, use, process, cache, copy, modify, distribute, perform, export and display the Customer Content and Data solely for the purposes of providing the User Services or as described in the Terms. The Customer represents and warrants that it has obtained all licenses or rights necessary to provide the above license.


LightOn grants the Customer a non-exclusive, worldwide license to access, use, export and display the Customer Content and Data solely to provide the User Services or as otherwise described in the Terms. 


LightOn represents and warrants that it has obtained all licenses necessary to provide the foregoing license.


  • Suspension and management of the Platform


Within the scope, particularly technical, controlled by LightOn, the latter may limit or suspend, temporarily or permanently (termination), the User's access and use of the Platform and User Services: 

  1. to the extent required by law, 
  2. to avoid injury, death or credible risk of harm to LightOn, User Services or Users, 
  3. for non-payment,
  4. for repeated reasons of violations of the Terms and, in general, all our policies or regulations, particularly in terms of copyright,
  5. at the request of the Customer. 

As such, LightOn undertakes to notify, depending on the circumstances, the User or the Customer who then undertakes to transmit the information to the Users affected by the measure, of the implementation of such a measure in order to give them the time and the possibility to provide explanations to LightOn and to resolve the problem before suspension, if necessary. Lifting the measures is at the discretion of LightOn.


Terms which are intended by their nature to survive termination shall survive termination, including confidentiality obligations, limitations of liability, and disclaimers.


  • Legal proceedings


If LightOn receives a request from law enforcement or other third party to provide data or information about the Customer or its Users, LightOn will respond to valid legal process only to the extent required by law. LightOn will notify the Customer and/or Users of the request unless prohibited by law or notification would threaten the safety of an individual.


  • Miscellaneous


  • Modifications


These Terms express the entire agreement between Users and LightOn relating to the use of the Platform and User Services. Any other document, in particular any mention on the Platform, has only informative value.


LightOn may update these Terms as described above. Any update to the Terms should be accepted by Users when they access the Platform after said update.


  • Divisibility


If any provision of the Terms is held to be invalid, illegal or unenforceable by any court decision or otherwise found to be impossible to enforce, the validity, legality and enforceability of the remaining provisions of the Terms will in no way be affected or impaired thereby and each such provision of the Terms will be valid and enforceable to the fullest extent permitted by law. In such an event, these Terms will be reformed to the minimum extent necessary to correct any invalidity, illegality or unenforceability, while preserving to the maximum extent the rights and business expectations of the Parties hereto as expressed in the Terms.


The headings and subheadings in these Terms are included for convenience only, and shall not be used to interpret any provision of the Terms. 


The fact of LightOn not claiming the application of any provision of the Terms or of tolerating the non-performance thereof temporarily or permanently, cannot under any circumstances be interpreted as a waiver by LightOn to exercise the rights it holds hereunder. The fact that LightOn tolerates a non-execution or an imperfect execution of the Terms or more generally to tolerate any act, abstention or omission of the User that does not comply with the provisions of the Terms cannot confer any right whatsoever on the User who benefits from such tolerance. 


Users acknowledge that the terms cannot have the effect of creating, between them and LightOn, a company or association of any form.


  • Hyperlinks 


Through LightOn to external sites


LightOn may provide links from the Platform to other resources accessible via the Internet. These resources are independent of the Platform, and constitute the property of third parties. LightOn does not edit or control these sites. 


Links to any site or resource do not constitute, in any way, an endorsement of their content, products, advertising or any other goods or services presented on these sites. Therefore, LightOn cannot be held responsible for any damage, of any nature whatsoever, resulting from the content of these sites, in this capacity. 


By Authorized Users to the Platform


The establishment by Authorized Users of any hypertext link to all or part of the Platform is strictly prohibited, except 

  • in the cases provided for by the Platform and in particular for the purposes of making Content accessible to Users who need to know it, 
  • with prior written authorization from LightOn, requested by email.

LightOn is free to refuse the establishment by Authorized Users of any hyperlink to all or part of the Platform. In the event that LightOn grants its authorization, it may be withdrawn at any time, without obligation to provide justification on LightOn.


  • Cookies


LightOn may automatically collect, through the Platform, standard information through the use of cookies or similar technologies. 


Any information collected indirectly will only be used to provide the User Services, track the volume, type and configuration of traffic using the Platform, to develop its design and layout and for other administrative and planning purposes and more generally to improve the User Services that LightOn offers.


  • Applicable law and competent jurisdiction


These Terms will be governed by the laws of France and the competent courts of Paris.


LightOn, the Client and the Users undertake, in the event of difficulties in the execution of the Terms and prior to any legal proceedings, to seek an amicable settlement to any dispute with a Client or User.


As such, the party wishing to initiate this amicable procedure must notify the other party, by registered letter with acknowledgment of receipt, specifying the application difficulties encountered or the shortcomings noted. This letter constitutes formal notice to remedy the shortcomings noted and a presentation of the amicable settlement proposal.


The other party will then have fifteen (15) calendar days to make known its interpretation of the events, its own amicable proposal for settlement of the dispute or its refusal of an amicable settlement.


The party having initiated the amicable settlement will then have fifteen (15) calendar days to make its response known.


However, if within thirty (30) calendar days following this response, the parties have not reached an amicable agreement, each of them will regain their full freedom of action and their right to refer the matter to the competent courts referred to above.
